Announcement PDF The Manager Company Announcements Office ASX Limited Level 6, 20 Bridge Street SYDNEY NSW 2000 NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 23 OCTOBER 2024: Secondary Trading Notice (the 'Notice') Pursuant to Paragraph 708A(5)(e) of the Corporations Act 2001 (the 'Act') Adisyn Ltd (ASX: AI1) (Company) advises that today it has issued 11,212,703 fully paid ordinary shares post the approval received from shareholders at the General Meeting held on 9 October 2024. Further information is contained in the Notice of Meeting available on ASX market announcements released on 3 September 2024. The Act restricts the on-sale of securities issued without disclosure, unless the sale is exempt under section 708 or 708A of the Act. By giving this notice, a sale of the shares issued on the 23 October 2024 will fall within exemption in section 708A(5) of the Act. The Company hereby gives notice pursuant to Section 708A(5)(e) of the Act that: 1. The Company has issued the Shares without disclosure to investors under Part 6D.2 of the Act; and 2. as at the date of this Notice, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company, and section 674 and 674A of the Act; and; 3. as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act, other than as set out directly below: a) as previously announced to ASX on 17 March 2023 and further updated in the Annual Report dated 29 September 2023, Half-year report dated 28 February 2024 and Annual Report dated 27 September 2024 the company sought legal advice in respect of the veracity of a writ of summons whereby the Company is named as a second defendant and the Company has subsequently filed its defence. As announced on 4 September 2024, the first defendant in the dispute has agreed to indemnify the Company against any potential exposure to damages for the matter in the event that the plaintiff are successful in their proceedings. The Company will keep the market informed about these proceedings in accordance with its continuous disclosure obligations.
